These Terms and Conditions of Use aim to define the rights and methods of use for the client of the "Upslice" sales and electronic order management software, developed and marketed by Upslice as a SaaS (Software as a Service) service.

The general terms cover technical or techno-commercial aspects that may change with the evolution of the platform. Contractual or financial aspects are governed by the agreement previously signed between the client and the commercial offer.

The Provider reserves the right to update these general terms at any time. The client must review the latest version of the general terms, available in their administrative account.

Continued use of the software after any modification to the general terms implies the client's acceptance of the new terms without reservation.

The service provided by the Provider is limited to the computer platform and accompanying services, excluding operational aspects managed by the client (e.g., sales defects, delivery delays, product errors).

Use of the Upslice service is limited to professionals (natural or legal persons) and public institutions, represented by their authorized employees to use the software.

The client acknowledges having reviewed the technical, commercial, and contractual specifications of the Upslice service before signing these general terms of use.

3. Ownership

The client's use of the Upslice service does not grant them any intellectual property rights to the software, which remains the exclusive property of the Provider.

The client must respect the intellectual property indications provided in Upslice service, support, and documents. However, the client may include elements related to their visual or legal identity within the framework of using the Upslice service.

The client must not tamper with Upslice service or use it in a manner inconsistent with its purpose and the general terms of use. The client may not reverse engineer the software to create a competing product or service, or copy its features or visual characteristics.

The client undertakes not to distribute Upslice service, exploit it for commercial purposes, or make it available to a third party or rent it out.

The Provider reserves the exclusive right to intervene in the Upslice service to ensure its proper use, including error correction. The client must not intervene or allow a third party to intervene in the software.

4. Client Acknowledgement

The client acknowledges that they have been properly established in accordance with applicable laws and regulations for companies or commercial entities.

The client acknowledges that these general terms of use do not conflict with any other obligation or applicable legislation.

The client is responsible for the accuracy of their contact information and must inform the Provider of any changes to ensure smooth communication.

5. Support and Maintenance

The Provider will ensure the maintenance of the software throughout the client's use period, starting from the date of signing these general terms of use. This maintenance covers malfunctions that prevent the use of the software, without any obligation to provide new versions containing new features.

In case of an issue, the client must inform the Provider of any malfunction, which will study its nature and provide necessary solutions.

The resolution time for malfunctions depends on the nature of the fault.

6. Updates and Improvements

The available version of the software for the client is universal and standard, without the possibility of modification or customization by the client. However, it is subject to continuous improvements.

Updates and new releases are irreversible and applied systematically. The client must review updates and improvements directly from their administrative account.

7. Liability

The client acknowledges that they have received all necessary information to assess the suitability of the software for their needs and to take necessary precautions for its use and exploitation.

The client alone is responsible for using the Upslice service and complying with the program's documentation. This includes:

The Provider is not responsible for the quality of the client's internet connection in case of interruption or disturbance, nor for the quality of the computer hardware used by the client.

The Provider is not responsible for damages resulting from data loss, alteration, or fraudulent use, or the transmission of viruses or other harmful elements to the client's computer system.

The Provider is not responsible for the accuracy and completeness of the data added to the Upslice platform by all relevant parties.

The Provider is not responsible for the unavailability of the Upslice service in cases of force majeure, defined as any situation beyond the Provider's control.

The client is responsible for reviewing the general terms of use and their updates. The Provider is not responsible for the client's ignorance of new amendments.

8. Password Security

The default passwords provided by the client must be changed. The uniqueness of the username/password unit is verified by the system.

The username and password are used as evidence of the client's identity and are required for each use. They have the value of an electronic signature.

The client is fully responsible for their username and password and bears the consequences of their use by a third party.

In case of password loss, the client can reset it through a dedicated feature or by requesting support.

9. Data Confidentiality

The Provider commits to confidentiality regarding the client's electronic data, including parcels, potential customer information, and any other information recorded on the Upslice service.

The client also commits to confidentiality regarding the information obtained within the framework of these Terms and Conditions of Use.

Some features of the software, such as statistics, notifications, and geolocation, may require the use of some recorded data in order to:

10. Commercial Terms

The pricing policy for the Upslice service and the commercial terms (subscription period, included units, storage space, additional services...) are defined through the commercial offer.

Commercial terms may change, and the Provider must notify the client at least 30 days before they come into effect.

Subscriptions must be paid before the current subscription expires, with a notice sent 7 days before the expiration date.
